Terms & Conditions of Sales for Partners

1.Definitions

Unless the context otherwise requires, the following terms shall have the meanings set forth below:

  • “Provider” refers to eOffice 2000 Ltd.
  • “Partner” refers to the operator of a workspace listed on the Platform and who has agreed a Membership Agreement with the Provider.
  • “Member” refers to any individual or entity who utilizes or books Services via the Platform.
  • “Services” include but are not limited to workspace-related products and services such as private offices, meeting rooms, coworking desks, virtual office services, and day passes.
  • “Platform” denotes the website operated by the Provider, accessible at www.eoffice.net.
  • “Listing” refers to a Partner’s workspace profile and service(s) description(s) published on the Platform.
  • “Membership Agreement” means the executed agreement between the Partner and the Provider governing the Partner’s participation in the eOffice eNetwork.
  • “Agreement” refers to any contractual arrangement, verbal or written, between the Partner and a Member for the provision of Services.

2.Acknowledgement and Acceptance

By entering into a Membership Agreement and/or by creating or updating Listings on the Platform, the Partner acknowledges and agrees to be bound by these Terms and Conditions, the Privacy Policy, and all other applicable policies of the Provider. Use of the Platform constitutes continued acceptance of the same.

3.Eligibility and Participation

3.1 Only individuals or entities with legal capacity to contract and who are over the age of eighteen (18) are eligible to act as Partners.

3.2 To participate in the eNetwork, the Partner must:

  • Execute a Membership Agreement with the Provider; and
  • Adhere to the “Partner Promise,” which includes commitments to:
    1. Flexibility – Offer a range of adaptable workspace solutions (e.g., part/full-time offices, coworking, virtual offices).
    2. Design – Maintain high standards of design, layout, and functionality within the workspace.
    3. Location – Operate in desirable and strategically located areas.
    4. Sustainability – Incorporate environmental and community-focused initiatives.
    5. Service – Deliver consistent, exceptional customer service.

4.Membership Agreement – Duration, Terms and Termination

4.1 The Membership Agreement commences on January 1 of each year and automatically renews on an annual basis unless terminated in accordance with these Terms.

4.2 Either party may terminate the Membership Agreement. TerminaXon noXce must be provided in wriXng by either party at least two (2) months before December 1. The terminaXon takes effect on December 31 of that year.

4.3 The Membership Agreement shall specify:

• The Partner’s Membership Tier; • The number of locations to be listed.

4.4 The Provider may terminate the Membership Agreement with immediate effect upon written notice if the Partner:

    1. Becomes insolvent, enters liquidaXon, or fails to meet payment obligaXons;
    2. Breaches these Terms or the Membership Agreement and fails to remedy such breach within seven (7) days of wri]en noXce.
    3. Provider may terminate for repeated late payments (3+ occurrences annually), even if individual issues are resolved

4.5 Partners agree to receive communications, including newsletters and service updates, from the Provider.

5.Listings on the Platform

5.1 Following the execution of a Membership Agreement, the Partner will receive Platform access to manage Listings.

5.2 Listings must be complete, truthful, and devoid of external branding or hyperlinks.

5.3 Partners are required to maintain accurate information including, but not limited to: descriptions, amenities, business hours (adjusted for UTC), and pricing (inclusive of all applicable taxes).

5.4 Prices listed must not exceed those publicly available on any other sales channel, including the Partner’s own website.

5.5 Currency selection for Listings is limited to GBP, EUR, or USD. All invoicing from the Provider shall be issued in GBP.

5.6 The Provider reserves the right to review, amend, or reject Listings prior to publication.

5.7 Images must accurately represent the workspace and be owned by the Partner.

6.Services Offered via the Platform

6.1 The Platform allows promotion of the following Services:

  • Private Offices – Price reflects minimum monthly hire, inclusive of utilities and taxes.
  • Meeting Rooms – Price reflects minimum hourly hire, inclusive of utilities and taxes.
  • Virtual Offices – Price reflects the lowest monthly package.
  • Coworking Desks – Price reflects monthly hire, inclusive of utilities and taxes.
  • Day Passes – Price reflects daily desk use, inclusive of utilities and taxes.
    1. Partners must respond to online inquiries within one (1) business day and keep the Provider copied on all Member communications until the Member book the Service, signed a Licence Agreement for the Service or reject the terms of the Service offered by the Partner.
    2. Inquiries not accepted may be rejected without obligation to provide the Service within one (1) business day.
    3. Online booking requirements depend on the Partner’s Tier, which will be defined in the Membership Agreement.
    4. If accepting an online booking for Day Pass or Meeting Room, the Partner enters a binding Agreement to supply the Service as described.
    5. Cancellations For Meeting Room and Day Pass bookings : • Members may cancel meeting room or day pass bookings with a full refund if done at least 48 hours in advance.
  • If the Partner cancels a confirmed booking without 7 days’ noXce, they must compensate the Member for reasonable inconvenience, subject to Provider review.
    1. If accepting a Virtual Office booking, the Partner has 10 business days to finalise all necessary ID check and enter into a Service Agreement with the Member.
    2. Listings for online bookings must include:
  • A full description of the Service and amenities;
  • Access instructions;
  • Applicable contractual terms and any additional fees that could be billed directly by the Partner.

7.Converted Inquiries

7.1 If a Member introduced via the Platform signs a Service Agreement, NoXficaXon of signed Service Agreements must be sent by the Partner to the Provider within 24 hours, via official email.

7.2 The Partner shall pay a referral fee to The Provider according to the Membership Agreement Tier.

7.3 For Online bookings the Provider will inform the Partner of the booking within 24 hours. The Partners needs to confirm availability by return within 24 hours. Partner will receive an itemized statement of all transacXons monthly. Disputes must be raised within 5 business days of issue.

7.4 The Partner warrants that any Services provided will:

  • Comply with these Terms;
  • Comply with all applicable legal, tax, and health/safety regulations;
  • Be covered by adequate insurance; • Not violate any third-party agreements.

8.Use of Partner’s Facilities

Partners must provide the booked Services in line with the descriptions. General facility provisions include access to:

• Heating, lighting, cleaning, and workspace maintenance; • Shared kitchen and communal areas (if applicable).

Each Service (e.g., Day Pass, Coworking, Office, Meeting Room, Virtual Office, Telephone Answering) is to be provided as per the corresponding description and subject to the limitations specified in the Membership Agreement or Listing.

Partners are expected to maintain accessibility standards, uphold health and safety, and provide alternative arrangements in case of facility malfunction.

9.Insurance

Partners must hold general liability, property, and business interruption insurance, appropriate to the legal requirements of their jurisdiction for all listed locations, and provide proof upon request.

10.Fees and Payment

10.1 Partner Membership Fees

  • Payable annually in advance, non-refundable;
  • Invoiced by November 1 each year, payable within 30 days.

10.2 Late payments incur:

  • A fixed fee of £50 (or £80 if above £1,000);
  • Interest at Bank of England base rate + 12% per annum.
    1. The Partner bears all transaction fees
    2. Referral Fees • Referral fees apply according to the Membership Agreement Tier
  • Partner collects payment from the Member and must notify the Provider within 24 hours of a signed contract or booking.
  • Referral fee percentages by Membership Tier will be annexed to the Membership Agreement.

10.5 Online Booking Payments • The Provider collects payment and remits the Partner’s share (minus referral fee) monthly.

  • Payments are made in the second week of the month, provided the Partner submits an invoice following the Monthly Summary Statement.

11.Trademarks and Brand Use

11.1 All eOffice logos and trademarks are the exclusive property of the Provider.

11.2 Partners may use the eOffice eNetwork logo solely to promote their affiliation, subject to prior written approval. Unauthorized use includes placement of logos on third-party marketplaces, email signatures, or materials not reviewed by Provider.

12.Data Privacy and Legal Compliance

12.1 The Partner agrees to comply with GDPR and all applicable privacy laws.

12.2 The Partner will ensure secure handling and storage of any personal data received via the Plalorm.

12.3 Data shared with the Provider must be relevant, limited, and safeguarded.

13.Dispute ResoluYon

13.1 In case of disputes arising from these Terms, the parXes agree to resolve the ma]er through mediaXon before pursuing legal acXon.

13.2 JurisdicXon: These Terms are governed by the laws of England and Wales.

14.Force Majeure

14.1 Neither party shall be liable for failure to perform obligaXons due to events beyond reasonable control, such as natural disasters, pandemics, or government restricXons.

15.Disclaimers

The Partner acknowledges:

  • The Provider is not a party to Agreements between Partners and Members;
  • The Provider assumes no liability for Member conduct.

We reserve the right to update or modify these T&C at any time, at our sole discretion. Any changes will become effective upon posting the revised version on our website on https://eoffice.net/terms-conditions-of-sales-for-partners/ , with the “Last Updated” date at the bottom of the document reflecting the latest revision. Your continued use of our services after any such changes constitutes your acceptance of the updated terms. It is your responsibility to review these documents periodically to stay informed of any updates.
